These Terms of Service ("Terms") govern your access to and use of NonprofitBOD ("NonprofitBOD," "we," "us"), a board governance software service available at nonprofitbod.com. By creating an account or using the service, you agree to these Terms. If you are using NonprofitBOD on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
1. The service
NonprofitBOD provides tools for nonprofit boards, including meeting management, minutes and voting, a compliance calendar, task tracking, board development, and related features. We may add, change, or remove features over time.
2. Accounts and eligibility
You must provide accurate information and keep your account secure. NonprofitBOD uses passwordless sign-in via secure email links; you are responsible for the security of the email inbox associated with your account. You must be at least 18 years old to use the service. You are responsible for all activity that occurs under your account and for your board members' use of the service.
3. Acceptable use
You agree not to: (a) use the service to violate any law or third-party right; (b) upload malware or attempt to disrupt, probe, or gain unauthorized access to the service or other accounts; (c) reverse engineer or resell the service except as permitted; or (d) use the service to store or transmit content you do not have the right to store or transmit.
4. Your content and data
You retain all rights to the content and data you and your board submit to the service ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide and improve the service. You are responsible for the accuracy and legality of Your Content and for maintaining your own backups. You may export Your Content at any time from within the service.
5. Fees and billing
Paid plans are billed in advance through our payment processor, Stripe, on the interval you select (monthly or annual). Fees are non-refundable except where required by law. We may change prices with reasonable notice; changes apply to the next billing cycle. You can cancel at any time, and your paid features remain active through the end of the current billing period. Failure to pay may result in suspension or downgrade.
6. AI features
Some features use third-party artificial intelligence to assist with tasks such as drafting minutes from your notes. AI output may be inaccurate and is provided for your review; you are responsible for reviewing and approving any AI-assisted content before it becomes an official record. AI never finalizes governance records on its own.
7. Third-party services
The service integrates with third parties (for example, payment processing, email delivery, image providers, analytics, and AI providers). Your use of those integrations may be subject to the third party's terms. We are not responsible for third-party services.
8. Intellectual property
The service, including its software, design, and content we provide, is owned by NonprofitBOD and protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or branding.
9. Disclaimers
NonprofitBOD is a software tool and does not provide legal, tax, accounting, or professional governance advice. The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. You are responsible for your organization's legal and regulatory compliance.
10. Limitation of liability
To the maximum extent permitted by law, NonprofitBOD will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim arising out of or relating to the service will not exceed the amounts you paid us in the twelve months before the claim.
11. Indemnification
You agree to indemnify and hold NonprofitBOD harmless from claims arising out of Your Content, your use of the service, or your violation of these Terms or applicable law.
12. Termination
You may stop using the service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms or to protect the service. Upon termination, your right to use the service ends; you may export Your Content before deletion, and we will delete or de-identify Your Content in accordance with our Privacy Policy and applicable law.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the United States and the state in which NonprofitBOD is organized, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts located there.
